Sarbanes-Oxley Act of 2002

The Sarbanes-Oxley Act of 2002 (SOA) is considered the most
dramatic change to federal securities laws since the 1930s. This Act updates
and expands federal regulation of public company corporate governance and
reporting obligations. It also significantly tightens accountability
standards.
SOA requires companies to follow strict accounting
practices to avoid large fines and possible legal prosecution. Publicly
traded companies must establish, document, and maintain internal controls
and procedures for financial reporting.
